Terms and Conditions

1. Who we are
GrowUp Business is registered in Nigeria under RC 8246382 and operates from Abuja. In these terms, "we" and "us" mean GrowUp Business. "You" means the person or business buying from us.

2. What these terms cover
These terms apply when you buy any of the following:
- The AI and Automation Audit, a paid session and written plan.
- A GrowUp Business subscription, our business system sold monthly or annually.
- Any setup, build or implementation work we agree separately in writing.
By paying, you accept these terms.
3. The Audit
What the fee covers:
- A review of your business as a customer experiences it, carried out before we meet. This covers your enquiries, your follow up, your bookings and your reviews, using what is publicly visible and anything you share with us.
- A live session of up to two hours with Seguntan Daniel.
- A written plan after the session covering where money is leaking, what to fix first, and what it looks like fixed.
The Audit is analysis and recommendation. It does not include building, installing or operating anything. Any build is a separate agreement with its own scope and price.
You book your own session after payment. If you need to move it, tell us before it starts and we will move it once at no charge. Any further change is at our discretion. If you miss a booked session without telling us, we will offer one reschedule. After that the fee is used.
4. Refunds on the Audit
Cancel more than 48 hours before your session and we refund you in full, no questions and no forms. Email hello@growupbusiness.com and we will return the money to the account it came from within 10 working days.
Inside 48 hours the fee is used, because that is when we begin going through your business ahead of the session. By then the work you paid for has started, whether or not you attend.
If we cancel or cannot deliver your session, you get a full refund or a new date, whichever you prefer.
5. Subscriptions
- Fees are billed in advance, in Naira.
- Your subscription continues until you cancel it.
- You can cancel at any time. Cancelling stops the next payment. It does not refund the period you are already in.
- If a payment fails we will tell you and try again. If it is still unpaid after 14 days we may pause your account. We keep your data during a pause.
- We may change our prices. If we do, we will tell you at least 30 days before it affects you, and you can cancel before it does.
6. Free periods
Where we agree a free period so you can use the system in your business before paying, the end date is agreed in writing at the start. At the end of it, either you begin paying or the account is paused. A paused account keeps your data for 90 days, during which you can export it or restart.
7. Your data and your customers' data
- Your data belongs to you. Your contacts, your conversations, your notes.
- You can export it at any time, and you can ask us to delete it.
- We use it only to run the service for you. We do not sell it, and we share it only with the providers we need to deliver the service, such as payment and messaging providers.
- You are responsible for having the right to hold and message the contacts you bring into the system, and for honouring anyone who opts out.

8. What we ask of you
- Give us accurate information. Our work is only as good as what you tell us.
- Do not use the system to send messages people did not agree to receive.
- Do not use it for anything unlawful.
- Keep your login details to yourself. You are responsible for what happens on your account.
We may suspend an account that breaks these, and we will tell you why.
9. What we promise, and what we do not
We will deliver what is described above with reasonable care and skill.
We do not promise a specific business result. We cannot control your market, your pricing, your staff, or whether you act on what we recommend. Any figure we discuss is an estimate based on what you tell us, not a guarantee.
Nothing on our website, in our marketing, or said in conversation is a promise of a particular outcome. What we owe you is what is written in these terms and in anything else we have agreed with you in writing.
We may decline to take on work. If we do, we will say so promptly and refund anything you have paid.
The system depends on services we do not own, including internet access, messaging networks and payment providers. We are not responsible for their outages, but we will tell you when one affects you.
10. Messages you send, and contacts you bring
The system lets you message your own customers. Those messages are yours, sent under your business name, to people you chose.
If a claim, fine or complaint is brought against us because of contacts you added or messages you sent through the system, you agree to cover the reasonable costs of dealing with it. This does not apply where the problem was caused by our own failure or by something we did wrong.
11. Things outside our control
Neither of us is responsible for failing to meet these terms because of something genuinely outside our control. That includes power failure, internet or network outage, the failure of a provider we both depend on, government action, and civil disruption.
We will tell you when one of these is affecting you. If it continues for more than 30 days, either of us can end the agreement, and we refund any period you have paid for and not used.
12. If something goes wrong
If we are found liable to you for anything connected with these terms, our total liability is limited to the amount you paid us in the 12 months before the claim. Nothing here limits liability for fraud, or for anything that cannot be limited under Nigerian law.
13. Ending the agreement
You can stop working with us at any time by telling us. We can end an agreement by giving you 30 days notice, or immediately if you break these terms seriously. If we end it without cause, we refund any period you have paid for and not used. On ending, you keep the right to export your data for 90 days.
14. Changes to these terms
We may update these terms. If a change materially affects you, we will tell you before it applies. Continuing to use the service after that means you accept the new version.
15. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and any dispute goes to the courts of the Federal Capital Territory, Abuja. Before going to court, both sides agree to try to resolve it directly first.
16. The agreement as a whole
These terms, together with anything we have agreed with you in writing, are the whole agreement between us. Things said in a meeting or a message do not change them unless we put them in writing.
If any part of these terms turns out to be unenforceable, the rest of them still stand.
Not enforcing something once does not mean we give up the right to enforce it later.
